Motive announced Thursday it secured more than $1.3 billion in growth financing from General Catalyst and withdrew its previously filed S-1. The San Francisco-based company reported its annual recurring revenue crossed $600 million, the company’s strongest quarter. ARR growth accelerated to 30% year over year.

ARR from customers spending more than $100,000 grew nearly 60% year over year. Net revenue retention for these customers was above 120%.

Pranav Singhvi, a managing director at General Catalyst, joined Motive’s board.

Growth financing after record ARR

Motive said the capital will fuel AI investment across the platform and grow its sales, support, and service teams. The raise pays for heads in the field as much as it pays for new models. Earlier this year the company named Thomas Hansen, a veteran of Amplitude, UiPath, Dropbox, and Microsoft, as its first president of go-to-market.

Motive serves nearly 100,000 customers, from small fleets to Fortune 500 operators. Those accounts span trucking, construction, energy, field service, manufacturing, agriculture, and related industries.

S-1 withdrawn

Motive said the financing allowed it to pull the S-1 and keep a public listing as a later path.

“With this financing, we’re very well capitalized. We withdrew our previously filed S-1,” Motive Co-founder and CEO Shoaib Makani told FreightWaves. “But we remain very well positioned for the public markets in the future. Motive has the operational capacity and the growth profile, to be a public company. With this financing we can continue to operate privately, but with the resources to invest aggressively.”

Motive already counts more than a million commercial vehicles on its platform, by Makani’s figure, against a North American ballpark he puts at 30 million. He called that a 3% penetration rate.

“The TAM here is hundreds of billions of dollars, and we’re just scratching the surface,” Makani said.

Motive’s chief financial officer tied the same check to product work and a larger sales force.

“From our earliest conversations, it was clear that General Catalyst shares our long-term vision for building Motive into a generational business,” said Chirag Shah. “Our momentum has never been stronger, and this financing will allow us to compound that for years to come through continued cutting-edge product innovation and scaling our go-to-market engine.”

Bringing AI to physical operations

Motive has shipped AI-powered cameras since 2017 that flag phone use, fatigue, and following distance. Makani said less than 20% of commercial vehicles have one, even when he puts the return at several times the hardware cost. The company said the raise will expand new products like its newly launched Maintenance and Operations Intelligence.

“For many years, we’ve been detecting unsafe behavior and alerting drivers. But now we can actually take interventions with agents. It doesn’t just end up in a dashboard somewhere. It actually gets acted on.”

Makani said those agents can take a driver off the road after a high-risk pattern, schedule a repair when a defect shows up, or flag fraud on a fuel card.

“Motive is building the intelligence layer for the physical economy,” Makani said in the company announcement. “AI that can see what’s happening on the road and in the field, understand what matters, and take action. For our customers, that means preventing collisions, avoiding downtime, and eliminating manual work.”

Singhvi said the investment case is cameras and equipment in the field.

“The physical AI market, and edge AI specifically, represents one of the most compelling long-term opportunities we see today,” Singhvi said. “Motive is at the forefront of that, with the market-leading platform that puts AI to work in the field, on the road, and on the job site in ways that deliver immediate, tangible ROI to customers. This has helped Motive become one of the rare businesses we have come across whose fundamentals continue to grow stronger with scale, and we have no doubt the best is yet to come.”

Makani said that adoption still has a long way to run.

“I think we’re in the very early innings,” Makani said. “Over the next decade-plus, you’ll see the physical economy leverage AI to improve safety and improve productivity. The early adopters and the more aggressive adopters are the ones that are going to run better businesses.”
