The meeting, originally set for January 8, 2008, will be rescheduled until after the SEC reviews proxy materials. Global also has asked shareholder to vote to change the company’s name to Clark Holdings at the meeting.
Clark provides non-asset-based transportation management and logistics services to the print media industry throughout the United States and between the United States and other countries. It had gross revenues of $80.3 million and net income of $7.0 million in 2006. It had revenue of $56.8 million in the first nine months of 2007 versus $57.3 million in the same 2006 period. Net income was $4.2 million in the first nine months versus $6.0 million in the same period the prior year.
Clark operates through a network of operating centers where it consolidates mass-market consumer publications so that the publications can be transported in larger, more efficient quantities to common destination points.
Global said if it “does not complete the acquisition by Feb. 21, upon approval of its stockholders, it will dissolve and promptly distribute to its public stockholders the amount in its trust account plus any remaining non-trust account funds after payment of its liabilities.”
