The transportation management software providers RedPrairie and JDA Software Group said this week they have received clearance from German anti-competition authorities to proceed with their planned merger this year.
The German Federal Cartel Office (FCO) granted clearance under the German Act Against Restraints of Competition, in connection with the previously announced transaction, in which entities affiliated with RedPrairie will acquire all outstanding shares of common stock of JDA for $45 per share.
The transaction remains subject to other closing conditions as set forth in the offer to purchase filed by RedPrairie and certain of its affiliates with the U.S. Securities and Exchange Commission on Nov. 15. The tender offer is scheduled to expire at 11:59 p.m. EST Dec. 13, unless extended or terminated. – Eric Johnson
