WWL joint venture partners complete ownership merger

Wilh. Wilhelmsen ASA and Wallroll AB, joint owners of Wallenius Wilhelmsen Logistics, EUKOR Car Carriers and American Roll-on Roll-off Carrier, have created a new ownership structure to enhance efficiency and increase cooperation between affiliates.

   Norway’s Wilh. Wilhelmsen ASA and Wallroll AB of Sweden, joint owners of Wallenius Wilhelmsen Logistics, EUKOR Car Carriers and American Roll-on Roll-off Carrier, have completed their previously announced merger, the companies said in a statement.
   Under the terms of the merger, the affiliated companies have joined forces to create a new entity, Wallenius Wilhelmsen Logistics ASA, which is listed on the Oslo Stock Exchange under the ticker symbol WWL.
   The new ownership structure is designed to enhance efficiency and increase cooperation between the formerly separate affiliate companies.
   As of today, Jan-Eyvin Wang and Benedicte Bakke Agerup have resigned as CEO and CFO respectively of Wilh. Wilhelmsen ASA, replaced by Craig Jasienski and Rebekka Glasser Herlofsen. The company’s new board consists of Håkan Larsson (chair), Thomas Wilhelmsen, Jonas Kleberg, Marianne Lie and Margareta Alestig.
   “The boards of Wilh. Wilhelmsen ASA and Wilh. Wilhelmsen Holding ASA are very pleased to announce that we have finally received all the necessary approvals and have completed the merger between Wilh. Wilhelmsen ASA and Wallroll AB, including our jointly owned entities Wallenius Wilhelmsen Logistics, EUKOR Car Carriers, American Roll-on Roll-off Carrier and our vessels,” Wilhelmsen and Wallroll AB Chairman Diderik Schnitler said of the deal.
   “Today marks a historical milestone in our relations with the Kleberg family and Wallenius company,” added Jan Eyvin Wang, president and CEO of Wilh. Wilhelmsen ASA. “While we are leaving a strong and profitable cooperation behind, we have also established a strong platform for future growth together.
   “The new company will facilitate an improved growth path for the land-based logistics offer, where we expect investments and development of new products and services, as well as a sound foundation for offering tomorrow’s deep-sea transportation services to global car and ro-ro manufacturers.”
